Terms of Service

Charigent is a subscription-based AI platform ("Service") that provides access to AI chat, image generation, content creation, Charigent building, visual flow automation, voice AI, and other capabilities ("Features"). Specific Features available to you depend on your subscription tier.

The Service is operated by Ninefold Ventures LLC, a limited liability company doing business as Charigent ("Charigent," "we," "us," or "our"). We reserve the right to modify, suspend, or discontinue any Feature at any time with reasonable notice where practicable.

You must be at least 18 years old to create an account. By registering, you represent that all information you provide is accurate and that you have the legal authority to enter into these Terms.

Creating an account does not by itself start a trial. Your 14-day evaluation period begins when you select a plan and billing interval and complete checkout with a valid payment card. If you create an account but do not complete checkout, no trial starts, no card is stored and you are never charged; your account remains accessible and you may complete checkout later.

Once the evaluation period begins you receive a one-time trial credit balance for metered AI usage. Unless you cancel before the evaluation period ends, your account converts automatically to the plan you selected at checkout, and the card on file is charged at that plan’s then-current rate for the billing interval you selected, recurring at that interval until you cancel. We will send you an email at least 3 days before the first charge stating the amount, the date it will be charged and the plan it is for, and providing a link to cancel.

You may cancel at any time before the evaluation period ends to avoid being charged, and you may cancel a paid subscription at any time thereafter to prevent further renewals. If you cancel before the evaluation period ends, your saved work remains in your account, but creating new work requires choosing a paid plan. Trial-enabled features and structural limits may differ from paid plans. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You may not share your account credentials with others or create accounts for any purpose other than your own lawful use. We reserve the right to terminate accounts that we determine, in our sole discretion, to be shared or operating in bad faith.

Plans. Charigent offers monthly and annual subscription plans (Starter, Pro, Business, Enterprise). Plan details including pricing, credit allowances, and feature limits are described on the Pricing page.

Credit allowances. Each paid plan includes a monthly AI credit allowance (e.g., $10/mo on Starter). Credits reset at the start of each billing cycle and do not roll over. Credits are consumed as you use AI features; each operation displays its estimated cost before you execute it.

Overages and top-ups. If you exhaust your monthly credit allowance, you may purchase additional credits ("top-up") at any time from the Billing page. Top-up credits do not expire while your subscription remains active.

BYOK (Bring Your Own Keys). Business and Enterprise subscribers may connect their own AI provider API keys. When BYOK is enabled, AI calls are routed through your own keys and you are billed directly by the respective provider. Charigent's credit system does not apply to BYOK calls.

Renewals and cancellation. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from Settings > Billing. Upon cancellation, you retain access until the end of your current paid period; no partial refunds are issued for unused portions of a billing cycle unless required by applicable law.

Price changes. We will provide at least 30 days' notice of any price changes via email or in-app notification before they take effect for existing subscribers.

You agree not to use the Service to:

• Generate, distribute, or facilitate illegal content, including but not limited to content that violates intellectual property rights, defames individuals, or constitutes fraud.
• Generate content that sexualises minors (CSAM) or that constitutes harassment, hate speech, or incitement to violence.
• Abuse or attempt to circumvent platform rate limits, billing controls, or security measures.
• Reverse-engineer, scrape, or systematically extract data from the platform in a manner that exceeds normal API access.
• Resell or sublicense access to the Service without our express written consent.
• Use the Service in any way that violates applicable local, national, or international law or regulation.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these rules, with or without prior notice, depending on the severity of the violation.

Your content. You retain ownership of all content you upload to the Service (documents, images, data). You grant Charigent a limited, non-exclusive licence to process your content solely to provide the Service.

AI-generated output. Subject to your compliance with these Terms, Charigent assigns to you all right, title, and interest in AI-generated output produced using your prompts. You are responsible for ensuring your use of that output complies with applicable law, including copyright law.

Our platform. The Charigent platform, including its software, UI, branding, and documentation, is owned by Charigent and is protected by copyright, trade mark, and other intellectual property laws. You may not copy, modify, or create derivative works of the platform.

AI models can produce inaccurate, incomplete, biased, or outdated information. Charigent does not guarantee the accuracy, reliability, or fitness for any particular purpose of any AI-generated content. You are solely responsible for reviewing, verifying, and deciding how to use any output produced by the Service.

AI-generated content should not be relied upon as professional legal, medical, financial, or other regulated advice without independent verification by a qualified professional.

Business and Enterprise subscribers may connect their own third-party AI provider API keys ("BYOK") to route requests through their own accounts.

• Provider agreements. When you use BYOK, you are solely responsible for compliance with the terms of service, usage policies, and billing obligations of your chosen AI provider (e.g., OpenAI, Anthropic, Google). Charigent is not a party to those agreements and is not liable for any costs, overages, or policy violations incurred through your provider account.
• Data processing. You acknowledge that when BYOK is enabled, your prompts, inputs, and outputs are transmitted directly to and processed by your chosen provider under that provider's privacy and data processing terms. Charigent does not control how your chosen provider handles that data.
• Platform fee. Charigent charges a 5% platform routing fee on BYOK usage. This fee covers infrastructure, routing, rate limiting, and platform overhead — it is not a fee for AI processing, which is handled by your provider.
• Key security. Your API keys are encrypted at rest using AES-256. You are responsible for rotating keys and managing permissions on your provider account. Charigent is not liable for any damage arising from compromised keys you store on the platform.
• Charigent credit system. Charigent's credit allowances do not apply to BYOK calls. Usage is billed directly by your provider at their rates.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

Business and Enterprise customers that use Charigent to process personal data on behalf of their own customers may request a Data Processing Addendum ("DPA") by contacting [email protected]. When executed, the DPA governs Charigent's role as a service provider or data processor for covered customer content, including subprocessor disclosures, security commitments, assistance with data subject requests, and cross-border transfer terms.

If there is a conflict between these Terms and an executed DPA for covered personal data processing, the DPA controls for that processing activity.

Charigent may provide SMS, voice, AI assistant, and workflow messaging features through managed providers such as Telnyx or through customer-provided accounts such as Twilio BYOK/imported numbers. These features may be used for customer-care conversations, inbound replies, reminders, workflow alerts, account notifications, and approved outreach where lawful recipient consent exists.

You are responsible for ensuring that every recipient has provided valid consent before you send or automate SMS, MMS, voice, or outreach messages through Charigent. You must be able to document how each recipient opted in, including web form, text keyword, written consent, or another lawful consent method. You may not use Charigent to send unsolicited, deceptive, harassing, prohibited, age-gated, direct-lending, or otherwise unlawful messages.

Message frequency varies based on account activity, active workflows, recipient interactions, and the settings you choose. Message and data rates may apply. Recipients may reply STOP to opt out of future SMS messages from a Charigent-connected number and HELP for help. You may not disable, bypass, or interfere with opt-out handling, suppression lists, consent records, delivery safeguards, or carrier compliance controls.

If you customize workflow messages, import contacts, activate outbound outreach, or connect your own telephony provider account, you are responsible for your message content, recipient consent, provider charges, carrier registration, 10DLC or toll-free verification, and compliance with TCPA, CTIA guidelines, carrier rules, and other applicable laws. Charigent may suspend or block messaging features that appear non-compliant or that risk carrier filtering, complaints, or platform abuse.

To the fullest extent permitted by applicable law, Charigent and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses arising from:

• Your access to or use of (or inability to access or use) the Service;
• Any AI-generated content produced through the Service;
• Unauthorised access to or alteration of your data;
• Any other matter relating to the Service.

In no event shall Charigent's total liability to you for all claims exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

You may stop using the Service and delete your account at any time from Settings > Account.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, although we will endeavour to provide reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 6, 9, 10, and 12.

We reserve the right to update these Terms at any time. When we make material changes we will notify you via email or a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms.

These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.
