Terms of Service
Last updated: November 1, 2026 · Effective date: March 1, 2026
Please read these Terms of Service ("Terms") carefully before using Charigent. By creating an account or accessing any part of the service, you agree to be bound by these Terms. If you do not agree, do not use Charigent.
1. Service Description
Charigent is a subscription-based AI platform ("Service") that provides access to AI chat, image generation, content creation, Charigent building, visual flow automation, voice AI, and other capabilities ("Features"). Specific Features available to you depend on your subscription tier.
The Service is operated by Ninefold Ventures LLC, a limited liability company doing business as Charigent ("Charigent," "we," "us," or "our"). We reserve the right to modify, suspend, or discontinue any Feature at any time with reasonable notice where practicable.
2. Account Registration and Trial
You must be at least 18 years old to create an account. By registering, you represent that all information you provide is accurate and that you have the legal authority to enter into these Terms.
Creating an account does not by itself start a trial. Your 7-day evaluation period begins when you select a plan and billing interval and complete checkout with a valid payment card. If you create an account but do not complete checkout, no trial starts, no card is stored and you are never charged; your account remains accessible and you may complete checkout later.
Once the evaluation period begins you receive a one-time trial credit balance equal to 50% of the selected plan's monthly credits. Unless you cancel before the evaluation period ends, your account converts automatically to the plan you selected at checkout, and the card on file is charged at that plan’s then-current rate for the billing interval you selected, recurring at that interval until you cancel. We will send you an email at least 3 days before the first charge stating the amount, the date it will be charged and the plan it is for, and providing a link to cancel.
You may cancel at any time before the evaluation period ends to avoid being charged, and you may cancel a paid subscription at any time thereafter to prevent further renewals. If you cancel before the evaluation period ends, your saved work remains in your account, but creating new work requires choosing a paid plan. Trial-enabled features and structural limits may differ from paid plans. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You may not share your account credentials with others or create accounts for any purpose other than your own lawful use. We reserve the right to terminate accounts that we determine, in our sole discretion, to be shared or operating in bad faith.
3. Subscription and Billing
Standard video costs $0.35 per requested second ($1.75 for its 5-second minimum). Frontier video costs $0.90 per requested second, with a 4-second minimum. Talking Avatar IV Photo video costs $0.15 per delivered second, with a 5-second minimum. Standard uses 2k ultraquality. Image-based Standard preserves the source image's proportions; text-only Standard is portrait. Starter includes Standard; Frontier and Talking require Pro or Business. Review and approve the server quote before generation. Receipts identify the purchased tier; output dimensions and duration may differ from the requested profile.
Plans. Charigent offers monthly and annual subscription plans (Starter, Pro, Business, Enterprise). Plan details including pricing, credit allowances, and feature limits are described on the Pricing page.
Credit allowances. Each paid plan includes a monthly AI credit allowance (e.g., $10/mo on Starter). Credits reset at the start of each billing cycle and do not roll over. Credits are consumed as you use AI features; each operation displays its estimated cost before you execute it.
Overages and top-ups. If you exhaust your monthly credit allowance, you may purchase additional credits ("top-up") at any time from the Billing page. Top-up credits do not expire while your subscription remains active.
BYOK (Bring Your Own Keys). Business subscribers may connect their own AI provider API keys. When BYOK is enabled, AI calls are routed through your own keys and you are billed directly by the respective provider. Charigent's credit system does not apply to BYOK calls.
Renewals and cancellation. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from Settings > Billing. Upon cancellation, you retain access until the end of your current paid period; no partial refunds are issued for unused portions of a billing cycle unless required by applicable law. See our Refund Policy.
Price changes. We will provide at least 30 days' notice of any price changes via email or in-app notification before they take effect for existing subscribers.
Taxes. Prices are in U.S. dollars and do not include sales tax, VAT, or similar taxes unless we say otherwise. Where the law requires us to, we collect these taxes from you and pay them to the tax authority. Any tax we collect is shown separately at checkout or on your receipt. You are responsible for any other taxes that apply to your use of the Service.
4. Acceptable Use
You agree not to use the Service to:
- Generate, distribute, or facilitate illegal content, including but not limited to content that violates intellectual property rights, defames individuals, or constitutes fraud.
- Generate, request, upload, publish, distribute, or sell sexual, erotic, pornographic, fetish, or other NSFW content or services, including AI-generated material, nudity, sexualized imagery, and adult live chat. Non-sexual romance, affectionate partner roleplay, sweetness, and light flirting are permitted only between adults aged 18 or older with clearly adult characters. Any age claim under 18 or minor-coded context ends the romantic thread; only neutral conversation may continue. Public marketing must disclose AI identity and avoid girlfriend or boyfriend experience (GFE/BFE), after-hours, 2am, or other sexual innuendo.
- Sexualize minors (including CSAM), harass people, spread hate speech, or call for violence.
- Abuse or attempt to circumvent platform rate limits, billing controls, or security measures.
- Reverse-engineer, scrape, or systematically extract data from the platform in a manner that exceeds normal API access.
- Resell or sublicense access to the Service without our express written consent.
- Use the Service in any way that violates applicable local, national, or international law or regulation.
We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these rules, with or without prior notice, depending on the severity of the violation.
Read our Acceptable Use Policy for a plain-language guide to these rules.
5. Intellectual Property
Your content. You retain ownership of all content you upload to the Service (documents, images, data). You grant Charigent a limited, non-exclusive licence to process your content solely to provide the Service.
AI-generated output. Subject to your compliance with these Terms, Charigent assigns to you all right, title, and interest in AI-generated output produced using your prompts. You are responsible for ensuring your use of that output complies with applicable law, including copyright law.
Our platform. The Charigent platform, including its software, UI, branding, and documentation, is owned by Charigent and is protected by copyright, trade mark, and other intellectual property laws. You may not copy, modify, or create derivative works of the platform.
6. AI-Generated Content Disclaimer
AI models can produce inaccurate, incomplete, biased, or outdated information. Charigent does not guarantee the accuracy, reliability, or fitness for any particular purpose of any AI-generated content. You are solely responsible for reviewing, verifying, and deciding how to use any output produced by the Service.
AI-generated content should not be relied upon as professional legal, medical, financial, or other regulated advice without independent verification by a qualified professional.
7. Bring Your Own Key (BYOK)
Business subscribers may connect their own third-party AI provider API keys ("BYOK") to route requests through their own accounts.
- Provider agreements. When you use BYOK, you are solely responsible for compliance with the terms of service, usage policies, and billing obligations of your chosen AI provider (e.g., OpenAI, Anthropic, Google). Charigent is not a party to those agreements and is not liable for any costs, overages, or policy violations incurred through your provider account.
- Data processing. You acknowledge that when BYOK is enabled, your prompts, inputs, and outputs are transmitted directly to and processed by your chosen provider under that provider's privacy and data processing terms. Charigent does not control how your chosen provider handles that data.
- Platform fee. For eligible user-facing AI BYOK requests, Charigent charges 7% of estimated provider cost, with a $0.001 minimum per request. Voice and SMS BYOK are charged at 7% of provider cost without the AI minimum. This fee covers infrastructure, routing, rate limiting, and platform overhead; it is not a fee for AI processing, which is handled by your provider.
- Key security. Your API keys are encrypted at rest using AES-256. You are responsible for rotating keys and managing permissions on your provider account. Charigent is not liable for any damage arising from compromised keys you store on the platform.
- Charigent credit system. Charigent's credit allowances do not apply to BYOK calls. Usage is billed directly by your provider at their rates.
8. Data Privacy and Data Processing Addendum
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
Business and Enterprise customers that use Charigent to process personal data on behalf of their own customers may request a Data Processing Addendum ("DPA") by contacting [email protected]. When executed, the DPA governs Charigent's role as a service provider or data processor for covered customer content, including subprocessor disclosures, security commitments, assistance with data subject requests, and cross-border transfer terms.
If there is a conflict between these Terms and an executed DPA for covered personal data processing, the DPA controls for that processing activity.
8a. Connected Social Platforms & YouTube API Services
Charigent integrates with third-party social and creator platforms, including YouTube API Services, Google Workspace APIs, Meta (Facebook and Instagram), TikTok, LinkedIn, X (Twitter), Pinterest, and WordPress, when you explicitly authorize an account connection in /dashboard/connections.
YouTube Terms of Service Agreement: When you connect a YouTube channel or use Charigent's YouTube publishing, comment-management, or channel-analytics features (which use YouTube API Services), you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms) in addition to these Terms.
Charigent's access, use, storage, and transfer of Google and YouTube user data is governed by our Privacy Policy, the Google Privacy Policy, and our Google API Services User Data & Limited Use Disclosure. You may revoke Charigent's access to your YouTube or Google account at any time from /dashboard/connections or via Google's security settings page at https://myaccount.google.com/permissions.
9. SMS, Voice, and Workflow Messaging
Charigent may provide SMS, voice, AI assistant, and workflow messaging features through managed providers such as Telnyx or through customer-provided accounts such as Twilio BYOK/imported numbers. These features may be used for customer-care conversations, inbound replies, reminders, workflow alerts, account notifications, and approved outreach where lawful recipient consent exists.
You are responsible for ensuring that every recipient has provided valid consent before you send or automate SMS, MMS, voice, or outreach messages through Charigent. You must be able to document how each recipient opted in, including web form, text keyword, written consent, or another lawful consent method. You may not use Charigent to send unsolicited, deceptive, harassing, prohibited, age-gated, direct-lending, or otherwise unlawful messages.
Message frequency varies based on account activity, active workflows, recipient interactions, and the settings you choose. Message and data rates may apply. Recipients may reply STOP to opt out of future SMS messages from a Charigent-connected number and HELP for help. You may not disable, bypass, or interfere with opt-out handling, suppression lists, consent records, delivery safeguards, or carrier compliance controls.
If you customize workflow messages, import contacts, activate outbound outreach, or connect your own telephony provider account, you are responsible for your message content, recipient consent, provider charges, carrier registration, 10DLC or toll-free verification, and compliance with TCPA, CTIA guidelines, carrier rules, and other applicable laws. Charigent may suspend or block messaging features that appear non-compliant or that risk carrier filtering, complaints, or platform abuse.
10. Creator Monetization, Fan Platform, Storage Allocations, and Payout Terms
Users who create, customize, and publish AI companions, characters, or agents to the public fan platform ("Fan Platform" at charigents.com) are subject to the following creator commercial and operational terms:
- Creator eligibility and publishing floor. Publishing companion profiles, knowledge bases, and conversational agents to the public fan directory requires an active paid Business or Enterprise tier subscription. Free or starter tier accounts may create companions for private preview but cannot publish them to the public directory. All published companions undergo automated safety and moderation screening. Romantic, never sexual, interaction is permitted only for users aged 18 or older with clearly adult characters. Deceptive personas, sexual or NSFW content, unlawful content, CSAM, hate speech, or impersonation without explicit authorization are strictly prohibited.
- Storage quotas and media billing. Each subscription tier includes an authoritative retained storage quota for avatars, reference imagery, audio voices, documents, and creator assets: Starter includes 2 GB, Standard includes 10 GB, and Business includes 50 GB. Creators who require additional capacity may purchase storage overage packs at monthly recurring rates: 10 GB ($3/mo), 50 GB ($9/mo), 100 GB ($15/mo), 500 GB ($70/mo), or 1,000 GB ($139/mo). Storage is metered by the total bytes retained in the creator's storage registry.
- Zero viewer bandwidth charges ($0.00 egress). End users and fans viewing companion images, streaming audio, or accessing companion profiles are never charged for bandwidth. All media assets are stored and distributed via Cloudflare R2 object storage with $0.00 per gigabyte internet egress fees. Neither creators nor fans are billed for egress bandwidth, ensuring seamless media access without unexpected traffic surcharges.
- Revenue share and fan access passes. Creators earn an 80% revenue share on eligible access pass sales; Charigent retains a 20% platform commission to support payment infrastructure, fraud monitoring, hosting, and operational services. Both shares are calculated on the price before any sales tax or similar tax. Standard fan access passes provide 30 days of conversational access. Passes do not auto-renew without affirmative fan action. One-time tips are available only when checkout verifies a completed conversation or content already received by the payer and records that service reference; tips are not personal donations. Every pass or membership offer must show the actual service, price, interval, renewal status, and cancellation method before purchase.
- Taxes and tax reporting. Where the law requires a platform or marketplace to do so, Charigent collects and pays sales tax and similar taxes on fan access pass sales and, if enabled, eligible service-linked tips made through the Fan Platform. Your revenue share does not include any tax collected, and it is reduced by refunds and chargebacks. You are responsible for reporting your earnings and paying your own income and self-employment taxes. We or our payment processor may ask for tax information, such as your legal name, address, and Social Security number or Employer Identification Number, and may issue tax forms (such as Form 1099) where the law requires. Payouts may be paused until valid tax information is provided, and we may withhold amounts when the law requires it (for example, backup withholding). Charigent does not provide tax advice; please consult a tax professional about your situation.
- 3-Tier Fraud Protection and Payout Schedule. To protect creators and the platform against payment float delays, credit card chargebacks, and fraudulent transactions, all creator fan earnings are subject to a mandatory 3-tier risk protection schedule:
- Tier 1: 30-Day Rolling Hold. Every individual eligible creator payment is held for 30 calendar days from the date of the charge before becoming eligible for withdrawal. This matches the 30-day fan pass duration and standard cardholder billing review cycles, ensuring payouts are disbursed only after the service period is fulfilled.
- Tier 2: 30-Day Initial Payout Hold. For new creators, the initial payout withdrawal is eligible only after 30 days have elapsed from the date of their first-ever recorded fan earning.
- Tier 3: 10% Rolling Reserve (First 90 Days). During the first 90 days following a creator's first fan earning, 10% of otherwise payable matured earnings are withheld as a temporary rolling reserve against chargebacks, refund claims, or payment disputes. The reserve automatically releases once the account completes 90 days of active history in good standing.
- Chargebacks and creator liability. Creators remain financially responsible for dispute fees and chargebacks associated with their companions. In the event of a payment dispute or chargeback initiated by a cardholder, the disputed amount is held pending investigation. Unfavorable dispute resolutions and associated processor dispute fees may be debited from the creator's payable balance or rolling reserve.
- Stripe Connect disbursement. Payouts are transferred electronically to the creator's linked Stripe Connect account upon withdrawal request or scheduled distribution once all holding requirements and minimum thresholds are satisfied.
11. Affiliate & Partner Program, Commission Balances, Automatic Setoff, and Payout Terms
Users who participate in the in-house Charigent Tiered Affiliate & Partner Program ("Partner Program") by accepting the clickwrap Partner Agreement in their dashboard, sharing a referral link (?ref=), or generating a partner checkout promotional code are bound by the following commercial, balance-handling, and brand-safety rules:
- Open partner enrollment & account good standing (no paid subscription required). Any registered Charigent user in good standing—whether on a free account or a paid subscription plan—may enroll in the Partner Program by scrolling through and accepting the standalone Affiliate Partner Agreement in the dashboard, generate an automated partner promotional code, accrue Tier 1 and Tier 2 commissions, and withdraw payouts or convert earnings to platform wallet credits. No paid subscription is required to promote Charigent or receive affiliate payouts, provided your account has
$0.00in overdue platform balances. - Tier 1 (25%–30%) and Tier 2 (5% override) commission schedule. Subject to compliance with these Terms, eligible Partners earn: (a) a Tier 1 Direct Commission of 25% of Net Subscription Revenue (automatically stepping up to 30% for Super Partners maintaining 20 or more active paying Tier 1 referrals) for the first 12 paid billing cycles of each qualified new subscriber attributed via the Partner's referral link or checkout promo code; and (b) a Tier 2 Sub-Affiliate Override Commission of 5% of Net Subscription Revenue for the first 12 paid billing cycles of each qualified subscriber referred by a Tier 1 Partner directly recruited by you. "Net Subscription Revenue" means actual subscription fees collected from paid, non-trial subscription invoices after discounts, taxes, refunds, and payment processing fees. 7-day free trials ($0.00 invoices) and pay-as-you-go API/usage credit top-ups generate 0% commission.
- How affiliate balances work (Pending → Available → Setoff / Payout). All affiliate earnings are tracked in an auditable ledger across three lifecycle stages:
- Stage 1: Pending Balance (60-Day Maturation Holdback). Every newly accrued Tier 1 or Tier 2 commission enters your
Pendingbalance for a mandatory 60-calendar-day maturation holdback from the date of the referred invoice payment. This window protects against credit card chargebacks, refund requests, and payment fraud. - Stage 2: Automatic Balance Setoff Against Outstanding Platform Fees. When a commission completes its 60-day holdback, or whenever a payout is evaluated, Charigent automatically checks your account for any Outstanding Platform Balances—including overdue or
past_due/unpaidsubscription renewal fees (if you also use a paid subscription), unpaid invoices, negative usage wallet balances, or unrecovered Stripe chargeback/refund reversals. You expressly agree and authorize that Charigent has an unconditional Contractual Right of Setoff: any matured affiliate balance is automatically deducted dollar-for-dollar ($1.00 = $1.00) and applied to pay down and clear your outstanding subscription fees or platform balances first, before any funds become eligible for withdrawal. - Stage 3: Strict Withdrawal Lock & Available Payouts. You cannot withdraw or request a cash payout while any outstanding subscription or platform balance (
> $0.00) exists on your account. Once your account has$0.00in outstanding balances, maturedAvailablebalances may be converted into Charigent wallet credits ($5.00 USD minimum) or requested as a cash payout ($50.00 USD minimum).
- Stage 1: Pending Balance (60-Day Maturation Holdback). Every newly accrued Tier 1 or Tier 2 commission enters your
- Unconditional chargeback and refund clawbacks. If a referred customer requests a refund, voids an invoice, initiates a credit card chargeback/dispute (
charge.dispute.created), or is terminated for payment fraud at any time—even after 60 days—the corresponding Tier 1 and Tier 2 commissions are immediately voided and clawed back from your Pending, Available, or future commission balances. - Brand safety, ban on negative clickbait, PPC brand bidding, and self-referrals. Partners may never use negative, defamatory, or "scam-bait" clickbait framing (e.g., "Is Charigent a Scam?", "Charigent Exposed", "Charigent Fraud") to attract traffic; may never bid on "Charigent" trademarked keywords on paid search or social ad networks; may never post promo codes to public coupon-scraper extensions; must clearly disclose material connections (
#ad/#partner) per FTC guidelines; and may never refer themselves, household members, or shared payment cards/IPs. Any violation results in immediate termination from the Partner Program, promo code revocation, and 100% forfeiture of all pending and available commission balances.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Charigent and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses arising from:
- Your access to or use of (or inability to access or use) the Service;
- Any AI-generated content produced through the Service;
- Unauthorised access to or alteration of your data;
- Any other matter relating to the Service.
In no event shall Charigent's total liability to you for all claims exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.
13. Termination and Suspension
You may stop using the Service and delete your account at any time from Settings > Account.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, although we will endeavour to provide reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 6, 10, 11, 12, and 15.
14. Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes we will notify you via email or a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.
Before initiating any formal legal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for a period of 30 days.
